1. Definitions & Interpretation

• Software: The sales management platform marketed as "Sales By Bhatt Studios."
• Users: Administrators, Sales Representatives, Managing Director of Blitz Packaging Ltd ("Client").
• Provider: Bhatt Studios, sole developer and service provider.
• Client Data: All records entered by Users, including customer/business names, addresses, contact details, orders, quotes, and product information.

2. License Grant & Restrictions

• 2.1 License: Provider grants User a limited, non-exclusive, worldwide right to use the Software under a lifetime subscription contract.
• 2.2 Restrictions: User shall not rent, lease, sublicense, reverse engineer, decompile, or otherwise attempt to derive source code or alter the Software.

3. User Accounts & Credentials

• 3.1 Registration Data: Users must provide full name and designation.
• 3.2 Authentication: Provider uses its proprietary login algorithm.
• 3.3 Account Security: Users are responsible for maintaining the confidentiality of their credentials.

4. Data Collection & Use

• 4.1 Collected Data: Full customer/business name, address, contact name, phone number, designation, email, orders, quotes, purchase orders, product details.
• 4.2 Sensitive Data: Login credentials and sales information.
• 4.3 Data Ownership: All Client Data remains the property of the Client; Provider processes and secures data on behalf of the Client.

5. Data Security & Privacy

• 5.1 Security Measures: Provider employs up-to-date encryption, password hashing, and restricts data access to the main Developer/CEO.
• 5.2 Logging: Provider collects login time, device type, IP address, and logout time for security monitoring.
• 5.3 Privacy: Provider does not share Client Data with third parties.

6. Support & Maintenance

• 7.1 Support: Email and phone support upon request.
• 7.2 Updates: Available on request; Provider uses CI/CD to roll out continuous improvements until end of system lifecycle.

7. Intellectual Property

• 8.1 Software Ownership: All rights, title, and interest in the Software remain with Provider.
• 8.2 Client Content: Client retains ownership of all data entered into the Software.

8. Warranties & Disclaimers

• 9.1 Performance: Provider aims for top performance; downtime only during off-hours for updates.
• 9.2 Error Resolution: Provider will promptly address software errors after assessing severity.
• 9.3 Disclaimer: No warranty that Software is error-free or uninterrupted.

9. Limitation of Liability

Provider is not liable for data leaks, losses, or damages caused by improper use of the Software by Client staff.

10. Indemnification

Provider will compensate Client for damages proven to result from Provider’s error, subject to a cost damage evaluation.

11. Termination

• 12.1 Cause: Provider may terminate access if User maliciously tampers with Software algorithms or security features.
• 12.2 Warnings: Number of warnings depends on severity; severe tampering may result in immediate termination.
• 12.3 Data Retention: Valid Client Data retained; malicious or invalid data may be deleted or modified.

12. Governing Law & Dispute Resolution

This Agreement is governed by the laws of Uganda. Any disputes shall be resolved by the courts of Uganda.

13. Changes to Terms

Provider may update these Terms. A notification message will display upon User login after changes are made.

14. Miscellaneous

• 15.1 Entire Agreement: This Agreement constitutes the entire understanding between the parties.
• 15.2 Severability: If any provision is held invalid, the remainder remains in force.
• 15.3 Waiver: No waiver of any right shall be effective unless in writing.
